Rockwell to buy Southern California software firm

Milwaukee, Wis. - Rockwell Automation has reached a definitive agreement to acquire Incuity Software, a privately held company headquartered in Mission Viejo, Calif. Terms of the transaction were not disclosed.

In a related matter, Rockwell reported that its fiscal second quarter net income dropped to $142.8 million, or 96 cents per share, from $729.3 million, or $4.45 per share in the same period of 2007.

Incuity Software is a supplier of enterprise manufacturing intelligence software, which is used to generate business intelligence for decision support in manufacturing plants. It has more than 45,000 products installed in more than 40 countries.

Kevin Roach, vice president of Rockwell Software, said the acquisition would contribute to the expansion of Rockwell's FactoryTalk software suite.

Incuity Software's management team and employees will become part of Rockwell's Architecture & Software operating segment.

Rockwell's disappointing earnings report came despite quarterly sales growth to $1.4 billion from $1.2 billion a year earlier. Last year's second quarter included income from Rockwell's now discontinued power systems business of $622.2 million, or $3.80 per share.
